1. INTRODUCTION
These Terms & Conditions (“Terms”) govern your access to and use of uc-me, a digital platform providing virtual business card and related digital identity services (“Platform”, “Service”, “uc-me”, “we”, “our”, “us”).
By accessing, registering for, or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.
2. DEFINITIONS
- User – Any individual or entity accessing or using the Platform
- Account – A registered user profile on uc-me
- Digital Card – A virtual business card created using the Platform
- Content – Any data, text, images, logos, links, or information uploaded or displayed
- Subscription – A paid or free plan granting access to Platform features
3. ELIGIBILITY & ACCOUNT REGISTRATION
3.1 You must be at least 18 years old or have legal capacity to enter into binding contracts.
3.2 You agree to provide accurate, current, and complete information during registration and to keep your account details updated.
3.3 You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.
4. SCOPE OF SERVICES
uc-me provides:
- Creation and management of virtual business cards
- Digital profile sharing via QR code, link, or NFC
- Contact information hosting and presentation
- Optional analytics, branding, and customization features
- Subscription-based premium services (if applicable)
uc-me does not guarantee business leads, conversions, or commercial success.
5. USER OBLIGATIONS & ACCEPTABLE USE
You agree not to:
- Use the Platform for unlawful, fraudulent, or misleading purposes
- Upload false, defamatory, obscene, or infringing content
- Impersonate another person or entity
- Distribute malware, spam, or harmful code
- Attempt to bypass security or access restricted systems
uc-me reserves the right to suspend or terminate accounts for violations.
6. CONTENT OWNERSHIP & LICENSE
6.1 User Content Ownership
You retain ownership of content you upload to the Platform.
6.2 License to uc-me
You grant uc-me a non-exclusive, worldwide, royalty-free license to host, display, store, and process your content solely for the purpose of providing the Service.
6.3 You warrant that you have all rights and permissions to upload your content.
7. INTELLECTUAL PROPERTY
All Platform software, designs, logos, trademarks, and proprietary technology are owned by or licensed to uc-me.
You may not copy, modify, distribute, reverse-engineer, or exploit any part of the Platform without prior written consent.
8. SUBSCRIPTIONS & PAYMENTS (IF APPLICABLE)
8.1 Subscription fees, billing cycles, and features are disclosed at the point of purchase.
8.2 All payments are non-refundable, unless required by applicable law.
8.3 uc-me may modify pricing, features, or plans with prior notice.
8.4 Failure to pay may result in suspension or downgrade of services.
9. DATA PROTECTION & PRIVACY
uc-me processes personal data in accordance with its Privacy Policy and applicable data protection laws.
Users are responsible for ensuring they have consent to share personal or third-party contact details displayed on their digital cards.
10. THIRD-PARTY SERVICES
The Platform may integrate with or link to third-party services (e.g., social media, analytics, NFC providers).
uc-me is not responsible for third-party content, availability, or practices.
11. SERVICE AVAILABILITY & MODIFICATIONS
11.1 uc-me strives for high availability but does not guarantee uninterrupted service.
11.2 uc-me may update, modify, suspend, or discontinue any part of the Platform without liability.
12. DISCLAIMERS
The Platform is provided “as is” and “as available”.
uc-me makes no warranties regarding:
- Accuracy or reliability of user content
- Business outcomes or performance
- Compatibility with all devices or systems
13. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- uc-me shall not be liable for indirect, incidental, or consequential damages
- Total liability shall not exceed the amount paid by the user in the preceding 12 months (if any)
14. INDEMNITY
You agree to indemnify and hold harmless uc-me, its directors, officers, and partners from claims arising from:
- Your use of the Platform
- Your content
- Your violation of these Terms or applicable laws
15. TERMINATION
15.1 You may terminate your account at any time.
15.2 uc-me may suspend or terminate accounts:
- For breach of these Terms
- For legal or regulatory reasons
- To protect platform integrity
Upon termination, access to services and content may be removed.
16. GOVERNING LAW & JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of Malaysia, unless otherwise stated.
Any disputes shall be subject to the exclusive jurisdiction of the Malaysian courts.
17. CHANGES TO TERMS
uc-me reserves the right to amend these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
